Send a contract to a counterparty

How to send a contract via the Guest Portal or as a Word document?

Once your contract is created, your fields are completed and your version validated, you can send it to your counterparty in two ways:

The process is identical — only the sending option changes.

Please note: Tomorro only supports bilateral contracts.
Tripartite or multipartite contracts are not supported.

A contract can therefore include only one counterparty company, with multiple users attached to that company.

Send the contract

Configure the send

  • Click on Send

  • Select Send for review

  • Choose the format:

    • Editor Version → access via the Tomorro portal

    • Word Version → sent as an attachment

💡 Editor version is only available if the contract has a version written in the Tomorro editor. A document imported as Word only offers Word version: the Editor version option appears greyed out, with the tooltip "A document must first be imported into the editor".

Add information

  • Add contacts (email addresses required)

  • Add a note (optional)

    • Read

    • Comment

    • Suggest

⚠️ These rights only apply to the Editor version. When sent as a Word version, the counterparty receives the file as an attachment and their portal only offers Download and Upload new version, then Send back the document: they edit the document outside Tomorro.

  • Choose the language

💡 What this language controls, and where the suggested value comes from.

It belongs to the contract, not to the counterparty. It sets the language of the access code for the counterparty portal, the invitation to sign, the document being sent, reminders, comments and the archiving of the discussion.

The suggested value is pre-filled when the contract is created: it takes your workspace language, unless the contract type uses a template with a defined language, in which case the template wins. A workspace in English with a template in French therefore gives a counterparty who receives everything in French.

You can change it here before sending, or later on the contract: Participants tab, Sharing settings section, Counterparty interface language field. A duplicated contract keeps the original's language.

  • Click "Send" ✅.

💡 Sending automatically moves the contract from Draft to Negotiating. A contract already in another status does not change.

The counterparty receives an email:

  • with secure access to the portal (6-digit code)

  • or with the Word document attached

Manage an approval before sending

  • Click "Send".

  • Then "Share with counterparty"

If an "Approval before sending" section appears, it means an approval workflow is required before the contract can be sent.

  • Wait for the approvers' validation

  • A notification is sent by email and in Tomorro

Once the approval is validated, the contract is automatically sent to the counterparty

Send a reminder to the counterparty

When a contract is awaiting the counterparty's review during negotiation, you can send them a reminder directly from the contract page.

To remind one or more counterparty contacts:

  • Open the relevant contract.

  • In the External participants section, click Send Reminder next to the contact you want to remind.

  • A confirmation window appears: "Send a reminder?"

  • Click Confirm to send it.

The counterparty receives a reminder email prompting them to take the next step on the contract.
