Some contracts are signed with more than one counterparty: a tripartite agreement, a framework agreement signed by several entities of the same group, a consortium agreement. With multi-party storage, you can link all of them to a single contract in Tomorro.
In this article, you will learn how to:
Store a new signed contract with several counterparties
Add counterparties to a contract that is already signed
Understand how file names and folders work when a contract has several counterparties
Before you start
Signed contracts only: drafts and contracts in negotiation or in signature keep one counterparty, because the signature flow works with a single counterparty.
Permissions: to add a counterparty you need to be able to edit the contract.
Store a new signed contract with several counterparties
In the sidebar, click New contract, then Store a signed document. You can also start from the Repository with the Store a signed document button.
In the New contract tab, drop your signed PDF or click to select it.
On the contract page, under Define the contract type, select the contract type.
Under Fill the contract fields, click the Counterparty field and select every counterparty that signed the contract. The list stays open, so you can tick several counterparties in a row.
If a counterparty doesn't exist yet, type its name and click Create "name".
Fill in the other required fields, then click Validate. If Tomorro warns you that the contract location may change, click Continue.
Tomorro names and files the contract according to your contract type's storage rules. See Understand file names and folders with several counterparties below.
Good to know
The first counterparty in the field is the main counterparty. Select it first.
When Oro, Tomorro's AI assistant, analyzes your document, it can pre-fill the Counterparty field with the parties it finds (up to 10).
Add counterparties to an existing signed contract
Open a signed contract.
In the Summary sheet, open the Contract tab.
Next to Counterparties, click + Add.
Select the counterparties to add. To create a new one, type its name and click Create "name". The current counterparties stay linked to the contract.
Click Add.
The new counterparties show in the Counterparties section. The main counterparty doesn't change.
The + Add button only shows on signed contracts. It's greyed out if you can't edit the contract.
Update the name and folders
Adding counterparties via the repository and the summary sheet doesn't rename or move the contract. To apply your storage rules again, click ⋮ at the top of the contract, then Sync automations, and confirm. This re-applies all the automations of the contract type: the name, storage location, participants and attached files may change.
Deleting a counterparty doesn't remove the contract from any Counterparty folder. If needed, remove the contract from the folder for the counterparty that no longer needs it.
Understand file names and folders with several counterparties
When your contract type's storage rules use the Counterparty smart field, Tomorro takes every counterparty into account.
Set up the storage rules
Go to Contract types and open a type.
Go to Automations → Storage.
In the Contract name or Dynamic folder field, type @ and insert Counterparty.
See an example
A distribution agreement signed with Adidas AG (main counterparty), Nike Inc. and Decathlon SAS:
Rule | Set up as | Result |
Contract name | @Counterparty - Distribution agreement | Adidas AG/Nike Inc./Decathlon SAS - Distribution agreement |
Dynamic folder | Clients › @Counterparty | The contract shows in Clients › Adidas AG, Clients › Nike Inc. and Clients › Decathlon SAS |
File name: every counterparty appears in the name, separated by "/". The main counterparty comes first.
Folders: the contract shows in the folder of each counterparty.
Moving the contract: if you move it out of one counterparty's folder from the Repository, it stays in the other folders.
The contract isn't a copy: it exists only once in your workspace, so any change shows in every folder.
If your rules don't use Counterparty, nothing changes: the contract keeps one name and one folder.
