The Playbooks allow you to define negotiation rules to structure and automate the review of your contracts using AI.
A dedicated Playbooks tab is available on the home page, in the side menu, under the Workspace section.
This feature is restricted to administrators.
Access Playbooks
Log in to your account.
In the left side menu, under the Workspace section, click on Playbooks.
The Playbooks page is divided into two parts: Standard Playbooks (provided by Tomorro) and your Internal Playbooks (created by your team).
Standard Playbooks (Tomorro)
The Standard Playbooks have been designed by Tomorro's legal team to meet market standards. They cover various common contract types (NDA, SaaS, commercial partnership, etc.) and are available in French, English and German.
Each standard playbook contains a set of predefined rules. A rule can detail:
Rule: the description of what the AI should check in the contract, along with the evaluation criteria.
Risk if not followed: the potential consequences of non-compliance.
Remediation: the recommended actions to correct the clause.
Alternative positions: exceptions (cases where the rule can be relaxed) and fallback positions (negotiation margin if the clause is rejected).
Try a Standard Playbook
Before linking a standard playbook to a contract type, you can test it:
Click on the standard playbook of your choice to display its rules.
Click on Try this playbook to test it on a contract.
Link a Standard Playbook to a contract type
If the test is successful, you can link the playbook to a contract type:
Click on Link to Contract Type at the top right of the playbook.
Select the desired contract type.
Once linked, all contracts created with this contract type will automatically use this playbook during review.
A playbook can be linked to multiple contract types. However, a contract type can only be associated with one playbook at a time: linking a new one replaces the previous one.
Duplicate a Standard Playbook
If the standard playbook does not fully meet your needs, you can customize it:
Click on the ⋮ menu (three dots) at the top right of the playbook.
Select Duplicate.
The duplicated playbook will appear in the Internal Playbook section. You can then modify its rules according to your needs.
Internal Playbooks
Internal Playbooks are playbooks created by your team, either by duplicating a standard playbook or by creating one from scratch.
Create an Internal Playbook
To create a playbook from scratch:
In the Internal Playbook section, click on Create playbook.
Enter the title of the playbook.
Add a description.
Select the contract type you want to link it to.
Add rules
A playbook contains one or more rules that define the checkpoints during review:
Click on + Add rule.
Enter the rule name.
Write the rule description: it tells the AI what to check in the contract.
You can click on Improve with AI to have the AI help you rephrase and enrich your rule description.
The generated rule will be in the same language as the original rule.
Define alternative positions
For each rule, you can define alternative positions that specify the expected behavior in specific situations.
Click on See alternative positions below the rule description to access them. The number of defined positions is displayed in parentheses.
There are two types of alternative positions:
Exception: a variant of the rule that applies in a specific case of the contract.
For example, if the rule requires the law of a European Union member state, an exception may indicate that English law is acceptable if the counterparty is located outside the EU.
Fallback position: if the rule is rejected by the counterparty, the fallback position defines the acceptable negotiation margin.
For example, if the 30-day payment term is refused, a 45-day end-of-month term may be accepted as a compromise.
To add an alternative position:
Click on See alternative positions below the rule description.
Click on Add exception or Add fallback.
Write the description of the position.
During contract review, exceptions are indicated by an orange indicator and fallback positions by a blue indicator.
Publish the Playbook
Once your rules are defined:
Click on Publish at the top right to activate the playbook.
Or click on Save as Draft to keep it in your library until you are ready to publish.
The playbook is automatically linked to the selected contract type.
A playbook saved as a draft is not linked to contract types, even if they were selected in the form.
If you unpublish a playbook, it will automatically be removed from all contract types it was linked to.
Playbooks remain accessible from the contract type settings:
Go to Contract types in the side menu.
Open the desired contract type.
Click on the Review tab to view and manage the associated playbook.
Use a Playbook during review (user side)
When a user launches a contract review, the behavior depends on the configuration:
If a playbook is linked to the contract type: it will be used by default automatically.
If no playbook is linked: at the time of review, the user can choose from the list of available playbooks (internal or Tomorro standard).
