The AI-assisted negotiation solution enables companies to accelerate negotiations and manage contractual risks by providing personalized negotiation recommendations.
It analyzes each contract against the rules defined in the Playbook (standard positions, alternatives, fallback positions and exceptions) to identify discrepancies and suggest appropriate actions.
Legal teams can thus focus on the critical issues, while business teams gain autonomy in reviewing contracts.
How it works
1️⃣ Structure contracts with contract types
Access reserved for administrators only.
A contract type is used as a base for negotiation: a service agreement or an employment contract, for example.
2️⃣ Define negotiation rules in a Playbook
Access reserved for administrators only.
A Playbook brings together all the rules defining the company's contract policy. Each contract type can have its own Playbook, as negotiation criteria vary depending on the context.
To create a rule:
Select a clause from your clause library as a starting point
The AI automatically generates the standard position of the rule
Adjust the generated provision and add an alternative provision and a fallback position if needed
Define exceptions to authorize certain clause variants
Publish the rule so it is used during contract review

3️⃣ Accelerate negotiation with recommendations
The AI automatically analyzes the contract and generates targeted recommendations to identify risks, inconsistencies, and points to adjust. It applies to contracts drafted in the editor as well as imported PDFs and Word documents.
The analysis triggers automatically:
On the first import of a PDF or Word document
Upon receiving a new version of the contract
On manual relaunch at any time

When negotiating a service agreement with a supplier, the AI-assisted negotiation solution automatically applies the rules defined in the corresponding Playbook.
Upon receiving a revised version of the contract, the AI analyzes the changes and provides tailored recommendations, such as flagging a missing clause for an external contract or identifying an unacceptable modification.
The user can then apply these suggestions, accelerating contract finalization.
If exceptions are defined in the Playbook, the AI takes them into account: a clause matching an authorized exception will be evaluated as Acceptable.
For clauses flagged as unacceptable, a Generate a comment for the counterparty button allows you to draft a professional message to send directly to the other party.
